1. Acceptance of Terms

By accessing or using our website, services, or support, you
(“Client,” “you,” or “your”) agree to be bound by these Terms and Conditions,
along with our Privacy Policy. If you do not agree, please do not use our
services or website.



2. Services Provided

Subnet Systems Inc. offers managed IT services, including
but not limited to:

  • Remote
    and on-site IT support
  • Network
    monitoring and management
  • Cloud
    services and data backups
  • Cybersecurity
    solutions
  • Hardware
    and software procurement
  • Consulting
    and system integration


Services are provided under service agreements or as
requested and accepted in writing.



3. Client Responsibilities

You agree to:

  • Provide
    accurate and up-to-date contact and business information
  • Cooperate
    with us in troubleshooting and service delivery
  • Maintain
    valid software licenses as applicable
  • Refrain
    from using our services for any unlawful, abusive, or harmful purposes



4. Payment Terms

Unless otherwise stated in a signed Service Agreement:

  • Invoices
    are due within 15 days of issuance
  • Services
    may be suspended for overdue accounts until payment is received

All fees are in Canadian Dollars (CAD) unless otherwise
specified.



5. Service Level Agreements (SLAs)

SLAs, including response times, uptime guarantees, and
support hours, are specified in your signed service agreement. SLAs do not
apply to force majeure events or scheduled maintenance (with advance notice).



6. Limitation of Liability

To the fullest extent permitted by Ontario and Canadian law:

  • We
    are not liable for indirect, incidental, or consequential damages
    (including loss of data or profits) arising from use of our services
  • Our
    total liability is limited to the amount paid by you for services in the preceding
    3 months


7. Warranties and Disclaimers

All services are provided on an “as-is” and “as-available
basis. We do not guarantee that:

  • Services
    will be uninterrupted or error-free
  • All
    cybersecurity risks can be eliminated

You are responsible for your own internal data policies and
system backups unless contracted otherwise.



8. Intellectual Property

All website content, software tools, documentation, and
service materials are the property of Subnet Systems Inc. or its licensors. You
may not copy, distribute, or reuse these materials without prior written
permission.



9. Termination

We reserve the right to:

  • Suspend
    or terminate services for any breach of these terms or misuse
  • Terminate
    ongoing service agreements with 30 days notice unless otherwise
    specified in a signed contract

You may terminate services by written notice, subject to any
notice periods or termination clauses in your agreement.



10. Privacy

Your use of our services is also governed by our Privacy
Policy
, which outlines how we collect, use, and protect your personal and
business information in accordance with Canadian privacy laws (e.g., PIPEDA).



11. Governing Law

These Terms are governed by the laws of the Province of
Ontario
and the applicable laws of Canada. Any disputes shall be
subject to the exclusive jurisdiction of the courts in Ontario.



12. Changes to Terms

We may update these Terms from time to time. Continued use
of our services constitutes acceptance of any changes. The current version will
always be available on our website.
